Terms and Conditions

1. About PraZiVo

PraZiVo (“we”, “us”, “our”) operates as a networked wellness coordination service. We connect clients with qualified health and wellness specialists across various fields to support holistic wellbeing.

PraZiVo itself does not provide medical diagnosis, prescription, or direct treatment. Each specialist (“Clinician”) within our network is an independent professional and bears full responsibility for their recommendations.

2. Services & Scope

  • We provide access to a network of independent clinicians, diagnostics, wellness assessments, and optional packages (“Services”).

  • The advice, care plan or recommendations provided by Clinicians are based on the information, test results and data available at the time of consultation.

  • Test results, diagnostics and assessments reflect your status at the time of testing only — they do not guarantee future outcomes or represent a full medical diagnosis.

  • We may assist with referral to relevant specialists or third‑party care if the Clinician or we identify the need for further investigation.

  • Our role is limited to coordination; we are not responsible for the professional advice or actions of the Clinicians or third‑party providers.

3. Eligibility & Exclusion Criteria

You warrant that you:

  • Are at least 16 years old;

  • Are not currently pregnant;

  • Are not currently diagnosed with a serious illness (e.g., cancer) unless explicitly accepted by us;

  • Meet any additional eligibility criteria displayed or required at the time of enrolment.
    If any exclusion criteria apply, we may refuse or pause your access to Services.

4. Your Responsibilities

You agree to:

  • Provide true, accurate and complete health history, test results, wearables data and medication information;

  • Keep us and your Clinician updated with relevant changes to your health;

  • Use the Services for wellness purposes only — if you believe you have an urgent or serious medical condition you must seek direct medical attention (call 000 in Australia);

  • Book, attend and comply with recommended testing and assessments; if you fail to do so, the accuracy and value of results may be compromised.

  • Understand that you are not obliged to follow a recommendation — all decisions remain yours.

5. Fees, Memberships & Payment

  • Service fees, membership fees or module/package fees (“Fees”) will be clearly disclosed before you commit.

  • Payment must be made prior to access, where indicated.

  • If you cancel or fail to attend an initial consultation or book less than the required notice (e.g., 48 hours), you may forfeit the initial consultation fee.

  • Memberships and modules may have their own cancellation, pause or refund rules (as displayed at purchase). If you cancel after certain milestones (e.g., after testing), refunds may be restricted.

  • We reserve the right to change Fees with 30 days’ notice; if you do not agree to revised fees, you may cancel in accordance with the relevant cancellation clause.

6. Data, Records & Reports

  • You may upload past test results or wearable data; you remain responsible for ensuring all relevant medical information is available.

  • Clinicians may choose to review data only from the past 2 years (unless otherwise agreed) due to practical review constraints.

  • You grant us the right to collect, analyse, store and secure your data in accordance with our Privacy Policy.

  • You acknowledge that we may partner with third‑party providers or mobile apps; mobile‑specific data (device info, usage, geolocation) may be collected with your consent.

  • You may request access to or transfer of your records following termination of our relationship, subject to legal retention obligations.

7. Third‑Party Providers & Referrals

  • Our Services may include referrals to third‑party clinicians, diagnostic providers or specialist centres (“Third‑Party Providers”).

  • You are responsible for booking, attending and complying with the terms of Third‑Party Providers.

  • We are not liable for the acts, omissions or service quality of Third‑Party Providers.

  • You expressly waive any claim against us for losses caused or contributed by a Third‑Party Provider.

8. Limitation of Liability & Indemnity

  • To the fullest extent permitted by law:

    • We exclude liability for any loss, damage or injury arising from your use of our Services, a Clinician’s advice or a Third‑Party Provider’s service.

    • Our total liability for any claim is limited to the Fees you paid for the particular Service.

    • We exclude liability for consequential loss (loss of profit, opportunity, data corruption etc).

  • You indemnify us (our directors, staff and affiliates) against all claims, costs or losses arising from your breach of these Terms, incorrect information you provided, or your reliance on external care without proper consultation.

9. Privacy & Data Protection

We comply with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs).

  • We use secure systems to protect your data, including encryption and access controls;

  • Data may be transferred across jurisdictions if required; you consent to that transfer if indicated;

  • We will notify you and the OAIC under the Notifiable Data Breaches Scheme if required.

10. Intellectual Property

All materials, content, protocols and reports provided by us remain our intellectual property unless otherwise agreed. You may not reproduce, distribute or modify our materials without prior written consent.

11. Governing Law, Dispute Resolution & General

  • These Terms are governed by the laws of Western Australia, Australia.

  • Before commencing court action, you and we must attempt resolution through negotiation and mediation.

  • You agree we may assign our rights to collect debts. You must not assign any rights without our written consent.

  • We will not be liable for delays caused by Force Majeure events (pandemic, natural disaster, government directive etc).

  • Severability: if any clause is unenforceable, the rest still applies.

12. Acknowledgement and Acceptance

By accessing or using PraZiVo’s Services, you acknowledge that you have read these Terms, accepted them, and will adhere to them.

You further acknowledge that:

  • We coordinate a network of independent clinicians;

  • Recommendations are based on available data at time of assessment;

  • You may be referred to other specialists;

  • We do not guarantee outcomes or act as your treating GP;

  • You accept the limits of the service and the liability clauses above.
